- From the draft Commission filing, list each exploration result, mineral resource, mineral reserve, and exploration target, whether a qualified person is named, and whether a dated and signed technical report summary is in the file. Do not rewrite the filing and do not sign a consent.
- What the lawyer must review
- A registrant discloses under Subpart 1300 of Regulation S-K when its mining operations are material to its business or financial condition. The Commission's small-entity guide says material has the meaning in Securities Act Rule 405 and Exchange Act Rule 12b-2. Disclosure of exploration results, mineral resources, or mineral reserves must be based on a qualified person: a mineral industry professional with at least five years of relevant experience in the type of mineralization, the type of deposit, and the activity undertaken, and an eligible member or licensee in good standing of a recognized professional organization when the technical report is prepared. A dated and signed technical report summary is filed as an exhibit when mineral reserves or mineral resources are first disclosed, or when they materially change. An exploration target, if disclosed, is a range of tonnage and a range of grade where exploration is not yet enough to estimate a mineral resource. The guide permits that disclosure in a Commission filing if it is accompanied by the statements the rule requires. Those accompanying words were not in the opened text, so you open the item before a target is released. You decide whether the filing may be made. This is a Commission filing by a registrant, not a stock-exchange announcement rule for every miner.
