From the lease and the joint operating agreement the lawyer supplies, list every clause on assignment, sublease, change of control, and consent, with the page. Do not decide that Bureau of Land Management approval is required and do not prepare the transfer form.
What the lawyer must review
43 C.F.R. § 3106.10 provides that federal oil and gas leases may be transferred by assignment or sublease as to all or part of the acreage or as to a divided or undivided interest. An assignment of record title conveys both record title and operating rights unless operating rights have already been severed. The rights of the transferee are not recognized by the Department until the authorized officer approves the transfer. A transfer of production payments, overriding royalty, or similar interests must be filed in the proper BLM office but does not require approval. A request for approval of a transfer of a lease or an interest in a lease must be filed within 90 days from the date the transferor signs and dates it. Under § 3106.83, where a corporate merger transfers property of the dissolving corporation to the surviving corporation by operation of law, an assignment of the affected lease interest is not required. The entity must notify the BLM and provide copies of the Secretary of State's certificate of merger, with the articles of incorporation or an amendment if available. Section 3106.71 states that BLM approval is for administrative purposes only and does not warrant or certify title. A consent clause in a private joint operating agreement is separate from the BLM filing. The tool extracts the clauses. The lawyer decides which regime applies.
