Build a corporate chart from a state filing the lawyer supplies
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Extract the entity name, the registered agent if the filing states one, and the directors and officers if the filing names them. Flag a field the filing does not contain. Do not add a person.
- What the lawyer must review
- The chart copies the filing. It is not a statement of who has authority under § 142 or of whether the registered agent is current. Formal Opinion 512: test an extract of this kind on a sample filing, then still read any field the tool flags on the filing in hand. A chart of a new filing is checked against that filing. Model Rule 1.6: do not put the filing into a public tool.
