Review a contract draft the client generated with an AI tool

How AI is used
Mark clauses in the client's generated draft that do not match the term sheet or the positions the lawyer supplies, and list each gap with the term-sheet words beside the draft.
What the lawyer must review
Read every clause before the draft is sent or signed. Formal Opinion 512: uncritical reliance on generated text can fail Model Rule 1.1. Comment 8 to Rule 1.1 requires the lawyer to understand the benefits and risks of the technology used. Model Rule 1.6 bars putting the draft into a tool that does not protect confidentiality. If the contract is for the sale of goods, open the Uniform Commercial Code as enacted in the state the contract selects. Do not treat a citation in the generated draft as that enactment.
