- How AI is used
- From the appointment papers, list whether the person is a natural person, and list any qualification the certificate or bylaws state, including any minimum age they state. Do not appoint the person.
- What the lawyer must review
- The lawyer decides whether the person may be appointed. Section 141(b) requires each director to be a natural person. It does not state a minimum age. Other qualifications exist only if the certificate or the bylaws prescribe them. The lawyer decides any disqualification or eligibility fact that is not in § 141.
