When to use it
Use as a rider to a time or voyage charterparty, or in a services agreement with a routing or performance-monitoring provider. Do not use to change cargo liability under the bill of lading regime; check interaction with the charterparty's seaworthiness and performance clauses.
How AI may be used
This clause is AI-specific. AI may draft variants for different charter forms, but seaworthiness, nautical fault and performance-claim allocations need lawyer review against the whole charterparty.
AI may
- Draft variants of the clause for time charter, voyage charter and provider agreements.
- Compare the provider's standard terms with this clause and list gaps.
- Check consistency of defined terms with the base charterparty form.
AI must not
- Must not change the master's overriding authority or make following recommendations mandatory.
- Must not decide how the clause interacts with the charterparty's performance warranty or off-hire clause.
- Must not reproduce BIMCO or other copyright clause wording.
The lawyer checks
- Whether the system is part of the ship's equipment (engaging seaworthiness) or an advisory charterers' tool.
- The performance-claim methodology (good weather definition, data source) matches the base form.
- Data, confidentiality and cyber terms are consistent with the owners' and charterers' other obligations.
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
