When to use it
Use to bring IP created by a founder, contractor or former owner into the client, or to tidy chain of title before a sale or investment. For employees, IP made under a contract of service usually vests in the employer already; use this deed to confirm it and obtain moral rights consents.
How AI may be used
AI may populate the IP schedules from register extracts and the data room, and flag gaps in chain of title. A lawyer verifies the chain of title and settles the scope of the assignment and the moral rights consent.
AI may
- Populate Schedule 1 from register extracts and the client's asset list, with a source for each row.
- Compare the schedule with the data room and list assets that appear in one but not the other.
- Draft the recordal requests for IP Australia from the executed deed.
AI must not
- Must not decide who owns an asset or assume that a contractor's work belongs to the client.
- Must not widen or narrow the moral rights consent without the lawyer's instruction.
- Must not enter unpublished inventions or confidential source code into a consumer tool.
The lawyer checks
- Chain of title from each creator to the assignor is documented.
- The moral rights consent names specified acts and specified works or classes (s 195AWA(3)).
- Both parties sign where the Patents Act or Designs Act requires it, and the deed is executed correctly.
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
