How AI is used
From the draft the lawyer supplies, list each clause that places a duty, a cap, an indemnity, a termination right, or a data obligation on one party only, and quote the sentence. Do not rewrite the clause.
What the lawyer must review
The lawyer decides whether a one-sided term is acceptable under the governing state contract law and the client’s instructions. Formal Opinion 512: the lawyer reviews the tool’s output and does not treat it as advice. Rule 1.6 requires a reasonable effort to prevent unauthorized access to the draft. Cal. Civ. Code § 1798.140(ag) defines a service provider as a person that processes personal information on behalf of a business and receives a consumer’s personal information from or on behalf of the business for a business purpose pursuant to a written contract. For the person to be a service provider, the contract must prohibit combining that information with personal information received from or on behalf of another person, or collected from the person’s own interaction with the consumer, except as the subdivision allows, including a business purpose defined in the regulations adopted under § 1798.185(a)(9). The definition does not itself require that contract of every vendor who receives California personal information. You decide whether the vendor is a service provider.
