- How AI is used
- From the attendance sheet and the unit-entitlement schedule, count the persons present in person or by proxy who are entitled to vote, and the unit entitlement they represent. Record whether the motion arose more than half an hour ago. Leave blank whether there is a quorum and whether the chairperson adjourns or declares a quorum. The tool does not declare the vote.
- What the lawyer must review
- Schedule 1 clause 17 says a motion must not be considered, and an election must not be held, unless a quorum is present to consider and vote on it. A quorum is present only if not less than one-quarter of the persons entitled to vote are present in person or by duly appointed proxy, or not less than one-quarter of the aggregate unit entitlement is represented by persons present in person or by duly appointed proxy who are entitled to vote, or, where there is more than one owner and the quorum otherwise calculated would be less than 2 persons, there are 2 such persons. A person who has voted, or intends to vote, by a permitted means other than a vote in person is taken to be present. The list of permitted means is in a later clause and was not used to state those means. If no quorum is present within the next half-hour after the motion or business arises, the chairperson must adjourn the meeting for at least 7 days, or declare that the persons present and entitled to vote constitute a quorum for that motion or business and any subsequent motion or business at the meeting. If a quorum is not present within the next half-hour after the time fixed for the adjourned meeting, the persons present and entitled to vote constitute a quorum for that motion or business and any subsequent motion or business. Clause 20 says the secretary must give members written notice of the resumed meeting at least 1 day before, stating the time and place and the provisions for determining the quorum. Who is entitled to vote is not fully stated in clause 17.
