Check whether the contract allows electronic signing and exchange
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Record whether the contract includes the consent to electronic signing and to exchange of counterparts by email or by another electronic means agreed in writing. Record any written agreement on another electronic means. Do not treat a workspace message as this consent, and do not say the consent applies to a contract that omits it.
- What the lawyer must review
- The lawyer decides whether these terms are in the printed contract and whether any other electronic means was agreed in writing. In the 2022 edition sample, each party consents to any party signing the contract electronically, and to the contract being made by exchange of counterparts delivered by email or by such other electronic means as the parties agree in writing. Each party agrees that electronic signing identifies that party and indicates that party's intention to be bound. Confirm the printed edition. This consent is not the workspace steps before completion, and it is not the rule about how a notice is served.

Checklist
- The consent covers electronic signing and exchange of counterparts.
- Email is the stated method. Another electronic method needs the parties' written agreement.
- The consent is not a rule about serving notices, and it is not the workspace timetable.
