- How AI is used
- For each agreement, list the work, mark or invention named, the person named as owner, the date, whether a signed writing is in the file, and the page. Do not state who owns the right.
- What the lawyer must review
- Copyright vests initially in the author or authors under 17 U.S.C. § 201(a), and the authors of a joint work are coowners. Under § 201(b), the employer or other person for whom a work made for hire was prepared is considered the author and, unless the parties have expressly agreed otherwise in a written instrument signed by them, owns all of the rights comprised in the copyright. Section 201(d)(1) allows ownership to be transferred in whole or in part by conveyance or by operation of law. A transfer of copyright ownership, other than by operation of law, needs the signed writing in § 204(a). A registered mark or an application is assignable with the goodwill of the business in which the mark is used, or with that part of the goodwill connected with the use of and symbolized by the mark, under 15 U.S.C. § 1060(a)(1), and § 1060(a)(3) requires assignments by instruments in writing duly executed.
