How AI is used
Record the fiscal-year end, the quarter end, and the change the lawyer has identified. Do not calculate a day count for the quarterly revision beyond the words of the rule, and write no notice to franchisees.
What the lawyer must review
Section 436.7(a) requires a revised disclosure document within 120 days after the close of the fiscal year. Section 436.7(b) requires the franchisor, within a reasonable time after the close of each quarter, to prepare revisions reflecting any material change to the disclosures, to be attached to the disclosure document. Each prospective franchisee receives the document and the quarterly revisions for the most recent period available. The rule as opened does not set a numbered day count for that reasonable time, and it does not require a separate notice to existing franchisees on an Australian code timetable. Section 436.7(d) requires notice to a prospective franchisee of material changes the seller knows or should have known in an Item 19 financial-performance representation. The lawyer writes any notice.
