- Jurisdictions: Australia

## When to use it

Use for a business-to-business SaaS subscription where the terms are negotiated, or as a balanced supplier standard form after an unfair contract terms review. Add the AI addendum if the service has AI features. Not for consumer click-wrap terms, or for government or APRA-regulated customers without their mandatory terms.

## How AI may be used

AI may produce a first draft from the term sheet and the firm's playbook, and compare the draft against the playbook. A lawyer settles the risk allocation, the consumer law position and every commercial term.

**AI may:**

- Populate the Order Form and Service Level schedule from the term sheet and proposal, listing anything missing.
- Compare the other side's mark-up with this precedent and the client's playbook, and produce a clause-level issues list.
- Flag terms that may be one-sided under ACL s 25 for the lawyer to assess.

**AI must not:**

- Must not decide whether a term is unfair or whether the customer is a consumer or small business; those are legal judgements.
- Must not upload the counterparty's confidential pricing or security documents to a tool that trains on inputs.
- Must not change liability caps, exclusions or indemnities without the lawyer's instruction.

**The lawyer checks:**

- Whether the contract is a standard form small business or consumer contract, and every term that could be unfair.
- That the warranty and liability clauses do not purport to exclude non-excludable ACL guarantees.
- That Schedule 3 (data protection) matches the customer's privacy, security and regulatory obligations.
