A statement of work for IT or professional services under a master services agreement: scope, out of scope, deliverables and acceptance, milestones and fees, assumptions and dependencies, personnel, change control, IP in deliverables and AI-use terms.

## Key facts

- Kind: Agreement. A contract between two or more parties.
- Practice area: [Technology, Media & Telecommunications / IT Contracts](https://ailawframework.com/precedents/technology-media-and-telecommunications-it-contracts.md)
- Jurisdictions: Australia
- AI level: Yellow. AI can help in set ways. A lawyer checks specific points before use.
- Law stated as at: 2026-10-18
- Status: Maintained. Checked on 2026-10-18 against the 2 authorities it cites, for Australia.

## When to use it

Use for each project or work package under an existing MSA, prepared from the supplier’s proposal and the agreed commercial terms. Check the MSA first: the SoW should add project detail, not quietly change the MSA’s risk allocation.

## Used for these tasks

- [Draft a statement of work from the proposal and the MSA](https://ailawframework.com/practice/technology-media-and-telecommunications-it-contracts.md#A24-A20260923-2)

## How AI may be used

AI may draft the SoW from the proposal and the MSA and flag conflicts with the MSA, but the lawyer and the business owner confirm scope, acceptance criteria, fees and any departures from the MSA before signing.

**AI may:**

- Draft scope, deliverables, milestones and assumptions from the supplier’s proposal
- List every point where the SoW would change or conflict with the MSA
- Check that defined terms and order-of-precedence wording match the MSA

**AI must not:**

- Must not invent acceptance criteria, fees or dates not agreed by the parties
- Must not change liability, IP or termination terms of the MSA through the SoW without flagging it
- Must not upload confidential pricing or client systems information to a tool that retains or trains on it

**The lawyer checks:**

- Scope and out-of-scope items are specific enough to measure delivery and price changes against
- Acceptance tests and the consequences of failure are objective and workable
- IP ownership or licence in deliverables matches the MSA, and any assignment is in signed writing (s 196(3))
- The order of precedence and any intended departures from the MSA are explicit

## Authorities

- [Copyright Act 1968 (Cth) s 196(3) (an assignment of copyright in deliverables has no effect unless in writing signed by or on behalf of the assignor)](https://classic.austlii.edu.au/au/legis/cth/consol_act/ca1968133/s196.html)
- [Australian Consumer Law s 23 (unfair terms in standard form small business contracts are void)](https://classic.austlii.edu.au/au/legis/cth/consol_act/caca2010265/sch2.html)
