A checklist and file record for deciding whether sending personal information to an overseas or offshore-hosted vendor is a use or a disclosure under APP 8, which exception (if any) applies, and the contractual and monitoring steps that count as reasonable steps.

## Key facts

- Kind: Checklist. Steps or checks to work through and tick off.
- Practice area: [Technology, Media & Telecommunications / IT Contracts](https://ailawframework.com/precedents/technology-media-and-telecommunications-it-contracts.md)
- Jurisdictions: Australia, Commonwealth
- AI level: Yellow. AI can help in set ways. A lawyer checks specific points before use.
- Law stated as at: 2026-10-18
- Status: Maintained. Checked on 2026-10-18 against the 4 authorities it cites, for Australia and Commonwealth.

## When to use it

Use before an Australian organisation signs up to, or expands its use of, a cloud, SaaS, AI or outsourcing vendor that will store, access or process personal information outside Australia, including through overseas support staff or subprocessors.

## Used for these tasks

- [Map data locations and cross-border flows from the vendor DPA](https://ailawframework.com/practice/technology-media-and-telecommunications-it-contracts.md#A24-T1-R4)
- [Map a vendor's data flows for privacy impact](https://ailawframework.com/practice/technology-media-and-telecommunications-it-contracts.md#A24-B7-3)

## How AI may be used

AI may map data locations, subprocessors and contract terms from the vendor’s documents into the record, but the lawyer decides whether there is a disclosure, whether an exception applies and whether the steps are reasonable.

**AI may:**

- Extract hosting regions, support locations, subprocessors and their countries from the vendor’s DPA, trust centre and subprocessor list
- Compare the vendor’s contract with the term list in Part D and mark each term as present, partly present or missing
- Prepare the data inventory table from the client’s description of the information the vendor will handle

**AI must not:**

- Must not conclude that providing the information is a use rather than a disclosure, or that an APP 8.2 exception applies
- Must not rely on the vendor’s marketing statements about data location without the contract terms that bind it
- Must not upload the client’s personal information to test the vendor or the assessment tool

**The lawyer checks:**

- The use-or-disclosure conclusion is supported by binding contract terms on limited purpose, subcontractors and the client’s effective control, as paras 8.14 and 8.15 describe
- If an exception is relied on, its elements are met on the facts and recorded; consent is informed and the individual was expressly told APP 8.1 will not apply
- The contract terms and monitoring are proportionate to the sensitivity of the information and the other factors in para 8.17
- The privacy policy and collection notices disclose the likely overseas recipients’ countries where practicable, and agencies have s 95B terms
