## When to use it

Use when a NSW residential purchaser wants to exchange without a cooling-off period (for example, before an auction) or with a shorter one. Do not use if your firm also acts for the vendor, and do not sign unless you have personally explained the contract and the certificate.

## How AI may be used

Lawyer-led. The certifying solicitor must personally explain the contract and the certificate. AI may prepare the date table and a draft explanation for the solicitor to deliver, never the certificate as a standalone step.

**AI may:**

- Extract the contract date, cooling-off clause, deposit and special conditions into a table for the solicitor.
- Draft a plain-English explanation of the cooling-off right and its loss for the solicitor to adapt and deliver.
- Check that the purpose box and purchaser names in the certificate match the contract.

**AI must not:**

- Must not generate a signed or ready-to-sign certificate without the solicitor having reviewed the contract and advised the purchaser.
- Must not be used to give the explanation to the purchaser in place of the solicitor.
- Must not calculate the last day of the cooling-off period as final advice; the solicitor confirms it.

**The lawyer checks:**

- The firm does not act for the vendor and no conflict exists (s 66W(1)(b)).
- The contract has been reviewed and its effect explained, including special conditions and finance risk.
- The certificate states its purpose and contains the required statement (s 66W(1)(c), (d)).
- For a corporate purchaser, the explanation was given to an officer or manager (s 66W(2)).
