> Company policy built around Sherman Act section 1 as opened, including the felony penalty. Company rules on prices, output, customers, markets and bids are labelled as company rules, not as case holdings.

## When to use it

Use when a company wants a written rule for personnel who deal with competitors. Do not use it to decide whether an agreement restrains trade, or to clear a collaboration.

## How AI may be used

Yellow: the lawyer adopts the company rules and makes any judgement about a particular arrangement.

**AI may:**

- Quote section 1 and the penalty that was read.
- State company rules against agreeing prices, output, customers, markets or bids with a competitor.
- Send any competitor contact to the lawyer before it happens, where the company wants that control.

**AI must not:**

- Do not decide that an arrangement is a contract, combination or conspiracy in restraint of trade.
- Do not label any category as per se unlawful. No case was opened for that label.
- Do not write a collaboration opinion or a no-poach analysis.
- Do not describe monopolisation. Section 2 was not opened.

**The lawyer checks:**

- Read section 1 against the arrangement. The policy does not do that reading.
- Decide which competitor contacts need advance clearance.
- If a deal needs a clean team, use the separate protocol and do not treat this policy as that protocol.
