## When to use it

Use when a landlord and a tenant want a written record of commercial-lease proposals before a lease is signed. Have the lawyer choose the state whose contract law will be read before any row is treated as binding.

## Used for these tasks

- [Draft or redline the contract for sale or heads of agreement](https://ailawframework.com/practice/commercial-property-and-leasing/draft-or-redline-the-contract-for-sale-or-heads-of-agreement.md)
- [Draft a commercial, retail or industrial lease from the heads of terms](https://ailawframework.com/practice/commercial-property-and-leasing/draft-a-commercial-retail-or-industrial-lease-from-the-heads-of-terms.md)
- [Summarise a commercial lease into a key-terms sheet](https://ailawframework.com/practice/commercial-property-and-leasing/summarise-a-commercial-lease-into-a-key-terms-sheet.md)

## How AI may be used

A tool may copy business terms from a term sheet or an email the lawyer has marked as the client's instructions.

**AI may:**

- Place each instructed figure into the matching Part A row and leave the row blank when the instruction does not state it
- Carry an initialled Part B row forward only when both initials are already on the draft the lawyer is editing
- Insert the public-accommodation or commercial-facility label only after the lawyer has chosen it

**AI must not:**

- Must not move a Part A row into Part B
- Must not state that a letter of intent is binding or non-binding under a statute
- Must not state that the ADA makes the landlord or the tenant responsible for a barrier
- Must not send the letter

**The lawyer checks:**

- The state named for Part B is the state whose contract law the lawyer will read, and that reading is still to be done if it is not in the file
- Every Part B row that is treated as offered has both parties' initials
- The access paragraph uses the primer's distinction between a public accommodation and a commercial facility
- No statute of frauds is quoted, because none was opened
