## How AI may be used

AI may adapt this reviewed base deed to the facility and check consistency. Enforcement, priority and PPSA provisions are settled by a finance lawyer.

**AI may:**

- Conform defined terms and cross-references to the facility agreement
- Populate the schedule from the term sheet and asset list
- List differences between this deed and the lender’s or borrower’s mark-up

**AI must not:**

- Must not change the PPSA contracting-out, enforcement or priority clauses without lawyer instruction
- Must not decide whether assets are excluded or circulating
- Must not process the grantor’s asset and financial information in an unapproved tool

**The lawyer checks:**

- Secured Money definition and Events of Default align with the facility agreement
- Excluded property, permitted security interests and land mortgages are dealt with
- Execution as a deed under s 127 and PPSR registration within the s 588FL window
