| Human involvement | Yellow: Lawyer and AI draft together |
| How AI is used | From the notice date, the meeting date and any constitution extract the lawyer supplies, record both dates and any longer minimum the extract states. Record the meeting type the lawyer names: an annual general meeting, another general meeting, a meeting of the members of a public company at which a resolution will be moved to remove a director under section 203D or to appoint a director in place of a director removed under that section, or a meeting at which a resolution will be moved to remove an auditor under section 329. If shorter notice is proposed, record the agreement the file shows and the voting proportion the lawyer supplies. Do not send the notice. |
| What the lawyer must review | The lawyer decides whether at least 21 days' notice is given, whether the constitution requires longer, whether any shorter notice is agreed in the way subsection (2) requires, and whether subsection (3) or (4) prevents shorter notice. Sections 203D and 329 are applied by the lawyer and are not restated here. |

## Checking plan

**Source-by-source verification**

Trace relied-on content to independent sources and check for relevant material the output has missed.

- What the AI does: From the notice date, the meeting date and any constitution extract the lawyer supplies, record both dates and any longer minimum the extract states.
- What the lawyer does: The lawyer decides whether at least 21 days' notice is given, whether the constitution requires longer, whether any shorter notice is agreed in the way subsection (2) requires, and whether subsection (3) or (4) prevents shorter notice. Sections 203D and 329 are applied by the lawyer and are not restated here.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Practical workflow informed by the linked primary sources; the traffic light and working checks are editorial guidance, not a court classification.
- Why: The level reflects what the work is, the consequence of an error, and how much of the output the lawyer must independently re-derive.

## Checks the lawyer makes

1. Record the notice date, the meeting date, and any longer minimum the constitution states.
2. A proposed shorter annual general meeting needs the prior agreement of all members entitled to attend and vote. Any other general meeting needs the prior agreement of members with at least 95 per cent of the votes that may be cast.
3. Do not treat shorter notice as available for a public-company meeting to remove a director under section 203D, or to appoint a replacement, or for a meeting to remove an auditor under section 329.
4. The lawyer decides whether the notice given meets section 249H.

## Notes

- These are suggested working checks. Confirm the required checking with the responsible lawyer before work starts; the checking approach does not establish permission to use AI.
