## Key facts

| Fact | Value |
| --- | --- |
| Practice area | [In-House / General Counsel](https://ailawframework.com/practice/in-house-general-counsel.md) |
| Human involvement | Yellow: Lawyer and AI draft together |
| How AI is used | Map last year’s statement and the board, committee and policy documents to each recommendation in the current edition of the ASX Corporate Governance Principles, mark each as followed or not followed with the evidence document cited, and draft the statement and the "if not, why not" explanations for the gaps. |
| What the lawyer must review | The lawyer checks every followed recommendation against a real document or practice in the year, confirms every explanation for a departure is true, checks the edition in force for the reporting period, and settles the statement for board approval. |

## Checking plan

**Line-by-line review**

Review the complete output at the level of each line, paragraph or clause; check facts, meaning and omissions.

- What the AI does: Map last year’s statement and the board, committee and policy documents to each recommendation in the current edition of the ASX Corporate Governance Principles, mark each as followed or not followed with the evidence document cited, and draft the statement and the "if not, why not" explanations for the gaps.
- What the lawyer does: The lawyer checks every followed recommendation against a real document or practice in the year, confirms every explanation for a departure is true, checks the edition in force for the reporting period, and settles the statement for board approval.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Practical workflow informed by the linked primary sources; the traffic light and working checks are editorial guidance, not a court classification.
- Why: The level reflects what the work is, the consequence of an error, and how much of the output the lawyer must independently re-derive.

## Checks the lawyer makes

1. Confirm which edition applies to the reporting period; ASX opened consultation on a draft fifth edition on 21 July 2026, and the fourth edition remains current until a new edition takes effect.
2. Check each followed recommendation against a policy, charter or record that existed during the period.
3. Confirm the statement’s date and approval and where it is published, as Listing Rule 4.10.3 requires.

## Notes

- These are suggested working checks. Confirm the required checking with the responsible lawyer before work starts; the checking approach does not establish permission to use AI.
