## Checking plan

**Source-by-source verification**

Check the notice period against section 249H and the contents against section 249L.

- What the AI does: From the register, the constitution and the business the lawyer lists, prepare a first-pass notice stating the date, time and place or the virtual-meeting details, the general nature of the business, the text of any special resolution, and the proxy statement.
- What the lawyer does: The lawyer checks the notice period, including any longer period in the constitution and any shorter-notice consents, checks every resolution, and approves the notice before it is sent.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Practical workflow informed by the linked primary sources; the traffic light and working checks are editorial guidance, not a court classification.
- Why: The level reflects what the work is, the consequence of an error, and how much of the output the lawyer must independently re-derive.

## Checks the lawyer makes

1. Give at least 21 days' notice unless a longer period in the constitution applies.
2. Do not use shorter notice for a public-company resolution to remove a director under section 203D, or for a resolution to remove an auditor under section 329.
3. If virtual meeting technology is used, include enough information for members to participate.
4. If a special resolution is proposed, set out the intention and state the resolution. Include the proxy statement where a member may appoint a proxy.

## Notes

- These are suggested working checks. Confirm the required checking with the responsible lawyer before work starts; the checking approach does not establish permission to use AI.
