## Key facts

| Fact | Value |
| --- | --- |
| Practice area | [Commercial & Corporate Advisory (contracts, company law, governance)](https://ailawframework.com/practice/commercial-and-corporate-advisory.md) |
| Human involvement | Yellow: Lawyer and AI draft together |
| How AI is used | Assist with the advice letter to the client under the lawyer's direction, working from the issues and authorities the lawyer has settled and from the contracts, constitution, board papers and correspondence on the file, with a file reference beside every fact recited, and list each fact the file does not support and each question in the instructions the letter does not yet answer. The tool assists with no opinion given for someone else to rely on: a capacity, due-execution or enforceability opinion addressed to a financier, purchaser or auditor is the lawyer's own and belongs to the separate reliance-opinion task, and the tool cites no case, statute or clause the lawyer has not supplied. |
| What the lawyer must review | The reasoning, the qualifications and the conclusion are yours: settle the analysis yourself and read every authority in a trusted source rather than in the draft in front of you. Check each recited fact against the document on the file, state the assumptions and the limits the advice is given on, and if the opinion is to be addressed to a financier, purchaser or other third party for reliance, treat it as the separate reliance-opinion task, where nothing is generated. |

## Checking plan

**Source-by-source verification**

Trace relied-on content to independent sources and check for relevant material the output has missed.

- What the AI does: Potential support includes preparing preliminary structure or wording and summarising source material. Confirm the tool’s capability and permitted scope.
- What the lawyer does: Set the scope, verify the evidence, resolve exceptions and approve the final output for its intended use.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Suggested checking approach based on the task guidance. Complete the assessment for the actual tool, information and jurisdiction.
- Why: The plan reflects the described work and review requirements. Policy colours are not used to determine permission or checking.

## Checks the lawyer makes

1. Open each relied-on authority independently. Confirm its existence, current status, proposition and any quotation or pinpoint reference.
2. Confirm the output against the client’s instructions and the complete relevant source material, including omissions or contradictions.
3. Resolve exceptions and record the responsible lawyer’s approval of the exact output and intended use.

## Notes

- Confirm the required checking with the responsible lawyer before work starts. The checking approach does not establish permission to use AI.
