## Checking plan

**Source-by-source verification**

A public company holds an annual general meeting within 18 months after registration, and then at least once each calendar year and within five months after the end of its financial year.

- What the AI does: From the registration date and the financial-year end, list the 18-month date and the date five months after the end of the financial year. Do not convene the meeting.
- What the lawyer does: The lawyer decides the date by which the meeting must be held, and whether either exception applies.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Practical workflow informed by the linked primary sources; the traffic light and working checks are editorial guidance, not a court classification.
- Why: The level reflects what the work is, the consequence of an error, and how much of the output the lawyer must independently re-derive.

## Checks the lawyer makes

1. A public company must hold an annual general meeting within 18 months after its registration.
2. It must hold an annual general meeting at least once in each calendar year and within 5 months after the end of its financial year. A meeting held for that purpose may also satisfy the 18-month rule. The meeting is in addition to any other meetings held in the year.
3. A public company that has only one member is not required to hold an annual general meeting under the section. A company covered under section 738ZI at the end of the financial year the section describes need not comply with the subsection that section names. Section 738ZI was not opened.
4. An offence based on the 18-month duty or the annual duty is an offence of strict liability. The section's note says reports must be laid before the meeting under section 317. That section was not opened.

## Notes

- These are suggested working checks. Confirm the required checking with the responsible lawyer before work starts; the checking approach does not establish permission to use AI.
