## Checking plan

**Source-by-source verification**

Count directors against the minimum for that company, including ordinary residence in Australia.

- What the AI does: From the register and the residence details the lawyer supplies, count the directors, not counting alternate directors of a public company, and list who is described as ordinarily residing in Australia. Do not decide that the count is met.
- What the lawyer does: The lawyer confirms the company type, whether it has CSF shareholders, and whether the residence requirement is met.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Practical workflow informed by the linked primary sources; the traffic light and working checks are editorial guidance, not a court classification.
- Why: The level reflects what the work is, the consequence of an error, and how much of the output the lawyer must independently re-derive.

## Checks the lawyer makes

1. A proprietary company must have at least one director, and that director must ordinarily reside in Australia.
2. A proprietary company with one or more CSF shareholders must have at least two directors. If there are only two, at least one must ordinarily reside in Australia. Otherwise a majority must ordinarily reside in Australia.
3. A public company must have at least three directors, not counting alternate directors, and at least two must ordinarily reside in Australia.
4. The lawyer decides whether a person ordinarily resides in Australia. The count does not make that finding.

## Notes

- These are suggested working checks. Confirm the required checking with the responsible lawyer before work starts; the checking approach does not establish permission to use AI.
