## Checking plan

**Source-by-source verification**

Test the request against the vote threshold, the required contents and the two time limits.

- What the AI does: From the request and the register, list whether it is in writing, states the resolution to be proposed, is signed by the members making it, and has been given to the company, and calculate the percentage of votes those members held at midnight before it was given. Do not call the meeting.
- What the lawyer does: The lawyer decides whether the request meets the statutory threshold and contents, and whether the directors must call the meeting within the stated times.
- Who reviews: Responsible lawyer with competence in the matter
- Basis: Practical workflow informed by the linked primary sources; the traffic light and working checks are editorial guidance, not a court classification.
- Why: The level reflects what the work is, the consequence of an error, and how much of the output the lawyer must independently re-derive.

## Checks the lawyer makes

1. The directors must call and arrange to hold a general meeting on the request of members with at least 5 per cent of the votes that may be cast at the meeting.
2. The request must be in writing, state any resolution to be proposed, be signed by the members making it, and be given to the company. Separate copies may be used if the wording is identical.
3. Work out the percentage as at the midnight before the request is given to the company.
4. The directors must call the meeting within 21 days after the request is given. The meeting is held not later than 2 months after the request is given.

## Notes

- These are suggested working checks. Confirm the required checking with the responsible lawyer before work starts; the checking approach does not establish permission to use AI.
