AASB S2 was issued on 20 September 2024. Its preface says the Corporations Act specifies the three application dates for the classes of entity. The legislative instrument commences on 31 December 2024. None of that tells you that your client is in the first group. That is a facts-and-threshold question.

AASB S1 is voluntary. An entity applying AASB S2 is not required to apply AASB S1. Do not add a general sustainability report because a climate worksheet mentions other topics.

## Key facts

- Tasks: 16
- Green: 4, Yellow: 9, Red: 3
- Levels: Green is AI drafts and the lawyer checks; Yellow is lawyer and AI draft together; Red is the lawyer writes and AI may only check, clarify or collect data.

## Summary

Sustainability reporting is a statutory question first: confirm who must report and which instrument applies. Software can build a gap list against the lawyer's headings; it cannot decide whether an entity is in the regime.

## Principles

- **Classify the entity first**: AASB S2 applies for annual periods beginning on or after 1 January 2025, and earlier application is permitted. The Corporations Act then says which entities must comply and uses three dates: financial years beginning on or after 1 January 2025, 1 July 2026 and 1 July 2027. The lawyer identifies the class.
- **Gap lists follow named headings**: Governance, strategy, risk management, and metrics and targets, including scenario analysis and Scope 1, 2 and 3 emissions, are the core of AASB S2. A gap list that invents extra headings is not a review of the standard.
- **Green claims are a different task**: A sentence in a website or a pitch deck can raise the Australian Consumer Law even when no sustainability report is required. The lawyer assesses the claim. The draft only collects the words and the evidence the client holds.

## Checklist

- Identify the reporting entity and whether the Corporations Act requires a sustainability report for that year.
- Use the AASB S2 headings the lawyer has marked, and record a document for each one or mark it missing.
- Keep emissions figures tied to the client’s source file. Do not calculate a new inventory.
- For a modern slavery statement, confirm the entity is a reporting entity under the Modern Slavery Act 2018 (Cth) before you draft.
- Do not clear an environmental marketing claim. Collect the words and the substantiation and hand both to the lawyer.

## Restrictions

- Do not file, send or rely on generated text until the responsible lawyer has checked it against the instructions and the current source.
- Do not put suppressed, privileged, subpoenaed or safety-sensitive information into a public AI tool.
- Do not state that an entity is required to report, or that a climate disclosure complies, unless the responsible lawyer has made that decision.

## Jurisdiction note

The reporting statutes are Commonwealth. Directors and marketing claims can also attract the law of the place of the business. Group reporting follows the Corporations Act choice described in AASB S2: a parent may prepare the sustainability report for the consolidated entity or for the parent, as the Act allows.

## Basis

Planning guidance checked against the linked public sources on 22 September 2026. Confirm the current instrument before reliance.

## What this work is

Separate three jobs: whether the entity must report, whether the draft climate disclosure covers the AASB S2 content the lawyer has listed, and whether public claims about the environment can be backed. Software helps with the second, as a gap list. The first and third are decisions.

## Review checklist

- Identify the reporting entity, the financial year and the class under the Corporations Act.
- Mark each AASB S2 heading as supported, partial or missing, with the source document.
- Do not invent emissions, scenarios or targets.
- Open the Modern Slavery Act before treating an entity as obliged to publish a statement.
- Hand environmental marketing claims to the lawyer with the words and the evidence side by side.

## Jurisdiction-specific considerations

- The standard’s application date and the Act’s three start dates are not the same sentence. Read both.
- A parent’s choice to report for the group or for itself is a point AASB S2 records by reference to section 292A of the Corporations Act. Do not assume group reporting.
- A polished climate narrative that is not tied to the client’s numbers is a greenwashing risk, not a draft disclosure.

## Tasks (16)

| Task | Level | How AI is used | What the lawyer must review |
| --- | --- | --- | --- |
| [Decide whether the entity must prepare a climate disclosure](https://ailawframework.com/practice/climate-esg-and-sustainability-reporting/decide-whether-the-entity-must-prepare-a-climate-disclosure.md) | Red | Extract the entity's name, the financial year, revenue bands the client has supplied, and group structure into a fact sheet for the threshold question. | Make the threshold call yourself Do not leave a generated reporting-group or "not required" label in client advice |
| [Build a climate-disclosure gap list from the data room](https://ailawframework.com/practice/climate-esg-and-sustainability-reporting/build-a-climate-disclosure-gap-list-from-the-data-room.md) | Yellow | Map documents in a permitted data room to the climate-disclosure headings the lawyer has listed, and mark headings with no document. | Open the document named on each row Reject matches that only share a word with the heading |
| [Assemble a modern slavery statement from last year’s statement and the supplier list](https://ailawframework.com/practice/climate-esg-and-sustainability-reporting/assemble-a-modern-slavery-statement-from-last-year-s-statement-and-the-s.md) | Yellow | Draft a statement skeleton from the entity’s previous statement and a supplier list the client has provided, marking anything new. | Check supply-chain, risk and action descriptions against what the client gave you Delete claims carried over from last year that are no longer true |
| [Collect environmental marketing claims and the evidence for them](https://ailawframework.com/practice/climate-esg-and-sustainability-reporting/collect-environmental-marketing-claims-and-the-evidence-for-them.md) | Red | Extract environmental claims from the web pages or deck the lawyer has identified, and list the evidence the client holds beside each claim. | Assess the claims yourself Do not let the table label a sentence as lawful or greenwashing |
| Draft a climate-disclosure narrative from the gap list and the source papers | Yellow | Produce a first-draft governance, strategy, risk and metrics narrative from the papers mapped to the headings, marking every sentence that has no source. | Delete unsourced claims: directors sign this Check transition-relief sentences match the current standard |
| Build a board-oversight evidence table for the climate disclosure | Yellow | From minutes, charters and papers, list climate items the board or committee actually considered, with dates and gaps against the governance heading. | Confirm the board oversight actually happened Do not treat a generated 'the board considers climate' sentence as evidence |
| Map transition-relief and Scope 3 gaps against the reporting-year plan | Yellow | From the standard headings the lawyer has listed, mark which disclosures the entity proposes to defer, the legal basis, and when the gap closes. | Treat relief as temporary and conditional Do not describe a deferral as compliance |
| Check the sustainability report against the statutory contents list | Green | Draft a mapping table that pairs each requirement in the lawyer-approved checklist with the paragraph of the draft sustainability report that addresses it,… | Confirm the requirement list is current for the entity's reporting year and cohort, decide whether each matched paragraph actually discharges the requirement,… |
| Assemble the reasonable-steps record behind the directors' declaration | Red | Index the papers the lawyer selects against each element of the declaration, showing where each item sits and flagging elements with no supporting record.… | The directors form and express the opinion. The lawyer decides which element each record supports, whether the record is sufficient, and what further enquiry… |
| Build the scenario-analysis record for the climate statements | Green | Draft a record of the scenarios used, their stated temperature reference, the inputs, assumptions, time horizons and approvals, taken from the entity's own… | Confirm the scenarios used are referable to subparagraphs 3(a)(i) and 3(a)(ii) of the Climate Change Act 2022, check that the recorded assumptions match the… |
| Assemble the assurance evidence pack and response log for the sustainability report | Green | Draft an index that pairs each request from the assurance provider with the documents supplied, and keep a log of the response, the owner, the date sent and… | Confirm which level of assurance applies to the entity's reporting year under ASSA 5010, check that nothing privileged or outside the engagement scope has… |
| Reconcile the climate-statement emissions figures to the NGER report | Yellow | Pull the disclosed and NGER-reported figures into a reconciliation schedule, calculate the differences, and work with the lawyer on the explanation for each,… | Check the reporting boundary and consolidation basis behind each figure, decide whether a difference is a genuine basis difference or an error, and approve… |
| Build the safeguard-mechanism obligation calendar and surrender position | Yellow | Draft a facility-by-facility calendar and position sheet from the baseline determinations, the NGER report and the unit account statements, showing the net… | Confirm the baseline determination and the responsible emitter for each facility, calculate the net-emissions position independently, and check every date… |
| Build the supplier risk and remediation record behind the modern slavery statement | Yellow | Assemble the register from questionnaires, audit reports and contract records, and work with the lawyer on the risk rating and the description of each action… | Set the risk criteria, decide each rating, and confirm that what the register says about remediation and effectiveness is supported by what the entity… |
| Build the protected-statement register for the sustainability report | Yellow | Draft a register that tags each statement in the draft against the protected-statement categories the lawyer supplies — forward-looking climate statements,… | Confirm the entity's financial year start against the protection windows, decide whether each tagged statement is in fact within a protected category and made… |
| Compare the climate statements with the entity's other public statements | Green | Extract comparable statements from the draft climate statements and from the other documents the lawyer supplies, pair them by subject, and draft a schedule… | Decide which differences matter, whether any amounts to a misleading representation, and which document is corrected. The lawyer judges materiality;… |

### New Zealand

#### Governing law

The Financial Sector (Climate-related Disclosures and Other Matters) Amendment Act 2021 amended the FMCA, Financial Reporting Act 2013 and Public Audit Act 2001.

#### Climate statements

Climate reporting entities publish statements from financial years commencing on or after 1 January 2023, under XRB climate standards.

#### Assurance

Independent assurance of GHG-emissions disclosure for reporting years ending on or after 27 October 2024.

#### AASB S2

Not the local standard. An FMA exemption treats it as an approved foreign standard for certain Australian entities.

- Do not tell a client they can file an AASB S2 report instead of an XRB climate statement unless an FMA exemption you have opened applies.
