Exchange Act § 10(b) (15 U.S.C. § 78j(b)) and Rule 10b-5 (17 CFR § 240.10b-5) prohibit an untrue statement of a material fact, or an omission of a material fact necessary to make the statements made not misleading, in connection with the purchase or sale of a security. - Rule 13a-11(c) says a failure to file a Form 8-K required solely by Item 1.01, 1.02, 1.05, 2.03, 2.04, 2.05, 2.06, 4.02(a), 5.02(e) or 6.03 is not deemed a violation of 15 U.S.C. § 78j(b) and Rule 10b-5. Other liability can still apply. Read the item on the current form.
- Foreign private issuers required to report on Form 6-K are outside Rule 13a-11(b). Do not file an ASX announcement as a Form 8-K.
